Welcome to CoreAxis. By downloading, installing, or using the CoreAxis desktop application ("Software") or accessing the coreaxis.vercel.app website, you agree to be bound by these Terms of Use.

If you do not agree to these terms, do not install or use the Software.

1. License Grant

CoreAxis grants you a personal, non-exclusive, non-transferable, revocable license to use the Software on devices owned or controlled by you, strictly in accordance with these Terms.

2. Restrictions

You agree not to, and will not permit others to:

• License, sell, rent, lease, assign, or otherwise commercially exploit the Software.
• Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Software, except to the extent permitted by applicable law.
• Remove, alter or obscure any proprietary notices (including copyright or trademark notices) of CoreAxis or its partners.

3. Intellectual Property

The Software, including all copyrights, patents, trade secrets, trademarks and other intellectual property rights, is and remains the sole and exclusive property of CoreAxis. Your license grants you no ownership interest in the Software.

4. Third-Party Services and AI Providers

The Software allows you to interface with third-party service providers (such as Google Gemini, or local Ollama configurations) using your own API credentials. You acknowledge that your use of these third-party services is subject to their respective terms and privacy policies. CoreAxis is not responsible for any billing, service degradation, or data privacy practices of external model providers.

5. Disclaimer of Warranties

The Software is provided "AS IS" and "AS AVAILABLE" without warranty of any kind. To the maximum extent permitted by law, CoreAxis disclaims all warranties, express, implied, statutory or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CoreAxis does not warrant that the Software will meet your requirements, run uninterrupted, or be error-free.

6. Limitation of Liability

In no event shall CoreAxis be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, use, or goodwill) arising out of or related to your use of or inability to use the Software, even if CoreAxis has been advised of the possibility of such damages.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the developer operates, without regard to conflict of law principles.
